For over 20 years, Stuart has provided his clients, in both “big law” and in-house counsel settings, with corporate and business advice and legal services. Stuart has handled hundreds of transactions, including mergers and acquisitions, company formations, joint ventures, investments, private placements, loans, software and trademark license agreements, as well as other commercial contracts. He also provides advice and counsel regarding business/legal issues, risk mitigation and form contracts.  

Representative Matters Include:
  • $50 million purchase of a commercial building in Seoul, Korea, and long term lease-back of the property, and related private placement for the equity tranche
  • $20 million stock sale of a natural cosmetics company
  • $20 milllion investment in a high tech company 
  • $11 million stock acquisition of the German and Hungarian subsidiaries of a publicly-traded company
  • $3 million sale of trademark assets of an apparel company and formation of new LLC with buyer
  • $13 million stock purchase of a medical technology company
  • $2 million private placement for a start-up technology company
  • $1 million private placement for a start-up restaurant
  • Numerous new company formations, investments, shareholder/operating agreements, executive employment agreements and strategic business agreements
  • Numerous trademark licensing agreements
