Mr. Hogan specializes in corporate transactions of all types, mainly mergers and acquisitions, franchising (on behalf of both franchisors and franchisees), and serving as outside general counsel several for dynamic, growing companies. He completes corporate purchases and sales with an innovative strategy that begins with assessing the needs of the seller or buyer with respect to tax planning and asset protection, determines the desired future direction of the client, and then assembles and leads the appropriate team members with the right specialties to either accomplish needed changes to the company, in order to achieve the highest possible market value, or complete the extensive due diligence necessary to vet a corporate target. Mr. Hogan then negotiates the deal points and prepare all legal documentation to complete the transaction. Mr. Hogan has developed corporate franchise programs and represented dozens of franchisees in many different industries including food, automotive and home services. Hs has completed franchise transactions all across the country. His outside general counsel practice encompasses working with a variety of entities, including family offices, in relation to acquisitions and all forms of corporate transactions, including employment agreements, shareholder agreements, employee stock plans, purchase and sale agreements and representation of corporate clients in selected situations, such as preference actions in federal bankruptcy court.
